Buying a UK business from overseas: the key questions for international buyers

For foreign nationals and smaller overseas businesses looking to establish a foothold in Britain, acquiring an existing UK SME can be a faster, safer and more commercially effective route than launching a new operation from scratch.

In the current market, that proposition is especially relevant, with inbound investment continuing to play a major role in UK dealmaking and overseas acquirers established as the driving force of UK M&A activity.

However, that does not mean buying from abroad is simple. Cross-border SME acquisitions still demand careful structuring, robust due diligence, clear tax planning and a realistic view of how to run an overseas business post-completion.

For buyers who approach the process professionally, however, the UK remains one of the more accessible and attractive markets in Europe for a foreign individual or overseas SME seeking expansion through acquisition.

Inbound M&A remains a powerful force in the UK
Any discussion of overseas acquisition activity in Britain needs to examine the wider deal environment. The UK has remained a major destination for inbound M&A because it offers a combination of familiar legal infrastructure, deep professional services capability, global connectivity and strong sector depth in areas such as technology, healthcare, financial services, advanced manufacturing and business services.

Official data underlines that point. The Office for National Statistics (ONS) reports that inward M&A into the UK in Q1 2025 had a total value of £19.2 billion, rising sharply from £10.5 billion in Q4 2024, while the number of inward deals increased from 163 to 222 over the same period.

Broader market reporting has also shown that overseas buyers were central to UK deal activity through 2024, with IFLR citing inbound UK M&A value of £79 billion in 2024 and wider analysis noting that international acquirers, particularly from the US, have remained highly active in targeting UK assets.

For lower mid-market and SME transactions, the same logic broadly applies. While headline statistics often focus on larger takeovers, the drivers that attract global buyers to the UK are often even more compelling in the SME space: founder-led businesses with strong margins, fragmented sectors with scope for consolidation, stable recurring revenues and companies whose value could be improved quickly under new ownership.

For a foreign national or overseas SME buyer, this creates an environment in which acquisition can serve as a practical market-entry strategy, rather than merely a financial investment.

Buying vs. building
The central strategic question for an overseas party targeting the UK market is whether to establish a UK business organically or buy one that already exists. In many cases, acquisition offers meaningful advantages over a start-up approach.

Fundamentally, an acquired business will already have the ingredients that can take years to assemble organically: an established trading history, existing customers, staff, supplier relationships, operating systems, premises, sector accreditations, regulatory permissions and market credibility.

Instead of spending months or years building a UK footprint, the buyer acquires a functioning platform capable of generating revenue from day one, assuming the transition is managed properly.

This can be particularly valuable for smaller overseas businesses that want to expand internationally without carrying the full uncertainty of a launch. Building from scratch often means forming a UK company, opening bank accounts, hiring locally, navigating payroll and tax registrations, finding customers without a local track record and trying to understand a new legal and commercial culture at the same time.

For an individual buyer, the practical burden can be even greater, especially where the plan is to move quickly, enter a regulated sector or take over an operation that needs immediate leadership.

Acquisition also allows a buyer to shortcut the process of proving product-market fit in the UK. If the target already serves UK customers profitably, the business model has at least some validation in the local market. This does not eliminate risk, but it is often a better starting point than making assumptions about pricing, competition and route-to-market from abroad.

There are also strategic reasons why acquisition may be preferable. An overseas SME may want a UK base to support European sales, diversify revenue geographically, access specialist talent, or bolt on complementary products and customers. Buying a company can accelerate each of those goals far more effectively than waiting for a start-up operation to gain scale.

Of course, the acquisition route is not inherently cheaper in headline terms. The buyer may pay a substantial upfront purchase price and then incur legal, tax, financial and integration costs. But the relevant comparison is not just purchase price versus start-up cost, rather it is purchase price versus the time, uncertainty and execution risk involved in building an equivalent business from scratch.

The process of acquiring a UK SME from overseas
At its core, the process for an overseas buyer is similar to any other UK acquisition, but distance makes discipline more important.

A typical transaction will involve target sourcing, initial screening, confidentiality agreements, preliminary discussions, an indicative offer, heads of terms, due diligence, deal documentation, financing arrangements, completion and integration.

The first stage is defining the acquisition criteria with precision. Buyers who cast too wide a net often waste time on unsuitable opportunities. This concern is especially acute when a buyer is screening businesses remotely.

The brief should cover sector, size, geography, profitability, customer profile, level of owner dependence, management depth and whether the business is intended as a platform acquisition or a standalone investment.

Once potential targets are identified, the buyer will usually sign a non-disclosure agreement (NDA) before receiving detailed information. For SME deals, this often begins with a teaser, then an information memorandum and headline financials, followed by management meetings and a more detailed information pack.

If the opportunity remains attractive, the buyer may submit an indicative offer or letter of intent setting out valuation, structure, funding assumptions and any key conditions. If those initial terms are accepted, the parties normally move to heads of terms. Although heads of terms are often largely non-binding, they are important because they frame the economics and process of the deal.

For an overseas buyer, this is often the stage at which exclusivity, timing, access to management and the scope of due diligence should be nailed down with particular care.

Due diligence then becomes the critical phase. Legal, tax and financial diligence are the core pillars, but commercial, operational, IT, cyber, property and regulatory diligence may also be needed depending on the business.

Where a buyer is operating from abroad, the quality of the virtual data room and the responsiveness of the seller become major determinants of whether the process remains efficient.

After diligence, the parties negotiate the principal transaction documents. In a share deal this is usually a share purchase agreement (SPA), supported by disclosure documents and potentially a shareholders’ agreement if some equity is to be retained by management or the vendor.

In an asset deal, an asset purchase agreement is used, together with transfer documents for contracts, employees, property and intellectual property as required.

Completion may be simultaneous with signing or delayed pending conditions, such as lender approval, third-party consents or regulatory clearance. Once completed, the focus quickly shifts to integration, management oversight and ensuring the business performs as expected under new ownership.

Should you engage a broker?
Many foreign buyers ask whether they need a broker to find and acquire a UK business. There is no universal rule, but for most first-time overseas acquirers, some form of local deal origination support is indispensable.

A broker, corporate finance adviser or buy-side mandate adviser can help identify opportunities, filter poor-quality businesses, make approaches confidentially, and provide a sense of what valuations and deal terms are realistic in the UK market. This is especially useful where the buyer has no established network of intermediaries, accountants, lawyers or sector contacts in the UK.

That being said, the value of a broker depends on mandate quality and alignment. A good adviser will not simply circulate every business on the market, but will narrow the field and help interpret what is genuinely attractive based on the buyer’s needs.

Buyers should also be clear whether the intermediary is acting for them, for the seller or effectively as a dual-sided introducer, because that affects incentives and the level of independent advice being received.

In proprietary or highly targeted acquisitions, buyers may instead work through sector advisers, lawyers, accountants and even their own direct outreach. For overseas SMEs pursuing strategic expansion, this can be effective where there is already a clear list of target businesses or sectors.

Even then, however, local transaction support is usually still needed once negotiations begin in earnest.

Other experts a foreign buyer should consult
A broker may help source an opportunity, but execution depends on a wider advisory team. At minimum, an overseas buyer should typically have a UK corporate lawyer, UK tax adviser and a financial due diligence specialist involved once the transaction is underway.

The corporate lawyer will handle deal structure, documentation, legal diligence, warranties and indemnities, disclosure issues, completion mechanics and post-completion filings. For a foreign national or overseas company, that legal role is especially important because UK transaction custom can differ significantly from practices in other jurisdictions.

A tax adviser is equally essential. The buyer needs to understand the implications of holding the UK business directly, through a UK company, or through an offshore holding structure, as well as the treatment of acquisition financing, stamp taxes, VAT, employment taxes and future profit extraction.

In some cases, immigration advice will also be necessary if the buyer intends to relocate to Britain and take an operational role.

An accounting or transaction services adviser can stress-test earnings, working capital, cash flow, debt-like items and the quality of financial controls. For SME acquisitions, where management accounts may be less sophisticated than in larger deals, that work can materially alter valuation or structure.

Depending on the business, further specialist advice may be needed on employment, pensions, property, environmental matters, intellectual property rights (IP), cyber risk, data protection, sector regulation, import and export controls, or National Security and Investment Act issues.

The buyer does not always need every adviser from day one, but should identify early which risks justify (or necessitate) specialist input.

Finding opportunities and negotiating remotely
The good news for overseas acquirers is that modern SME dealmaking can be run largely remotely, at least until the later stages. Digital technology now means foreign buyers can identify opportunities, negotiate and conduct diligence from abroad.

Opportunities typically arise through brokers, online marketplaces, sector-specific intermediaries, accountants, lawyers, private networks and direct approaches to owners.

For strategic buyers, a targeted search can often produce better results than relying solely on public listings, because the most attractive SMEs are not always openly marketed.

Remote negotiation is now common (particularly in the wake of the COVID-19 pandemic), but carries risks. It is easier to misunderstand management culture, overestimate customer stickiness or miss operational weaknesses when interactions are mediated by video calls and virtual documents.

A disciplined buyer therefore combines remote efficiency with selective in-person verification, usually through one or two visits focused on site inspection, management evaluation and final negotiation.

The same applies to due diligence. A strong virtual data room (VDR) can support a highly effective process, but only if the buyer requests the right information early. Core requests should normally include statutory accounts, monthly management accounts, bank facilities, tax filings, employee data, key commercial contracts, property documents, litigation history, IT and cyber policies, insurance details and any regulatory correspondence.

A common mistake among remote first-time buyers is to treat diligence as a formality once the commercial logic seems sound. In reality, the farther the buyer is from the business, the more diligence matters. Distance should make the process more forensic, not less.

Core tax and legal considerations
From a legal perspective, there is generally no blanket prohibition on foreign nationals or overseas businesses owning UK companies. The real issues lie in structure, compliance and risk allocation, rather than ownership eligibility itself.

On tax, the issues can be wide-ranging. A share acquisition typically attracts stamp duty at 0.5 per cent on the purchase price for UK shares, while an asset deal may trigger different liabilities depending on the assets transferred, including VAT or stamp duty land tax where property is involved.

The buyer also needs to think beyond completion to ongoing corporation tax, payroll taxes, VAT registration, transfer pricing where relevant, and how profits will be distributed or reinvested.

International structure matters as well. A foreign buyer may choose to acquire through a new UK holding company, through an existing overseas parent or through a special purpose vehicle.

Each approach can affect financing flexibility, tax efficiency and future exit options. That is why tax and legal structuring should be addressed early, not left until the deal is near signing.

Legally, the buyer should focus on ownership of shares or assets, change-of-control provisions, employment liabilities, restrictive covenants, customer concentration, IP rights, disputes, data protection exposure and any sector-specific regulatory requirements.

If the target operates in a sensitive area, such as advanced technology, data infrastructure, defence-linked supply, energy or critical services, the National Security and Investment Act will also require specific analysis and compliance.

For cross-border buyers, anti-money laundering and source-of-funds questions also need to be anticipated. UK lawyers, accountants and banks will require evidence on ownership, identity and funding. Unwanted delays often arise when buyers are not prepared with the necessary documentation.

Share purchase or asset purchase?
For overseas buyers, one of the most important structural decisions is whether the deal should be completed as a share purchase or an asset purchase. In a share purchase, the buyer acquires the shares in the target company and therefore acquires the company as a whole. The legal entity continues to own the contracts, licences, employees, goodwill and operating assets it held before the transaction, which often makes continuity easier.

For a buyer seeking to preserve trading relationships and avoid disruption, that can be a major advantage, especially where customer contracts, leases or licences would be difficult to transfer individually.

The drawback is equally clear. In buying the company, the buyer also acquires its history and, subject to contractual protections, its liabilities. That includes known liabilities and potentially unknown or contingent ones, which is why due diligence, warranties, indemnities and, in some deals, warranty and indemnity insurance become so important.

An asset purchase takes a different approach. Here, the buyer selects specific assets of the business and, where agreed, certain liabilities. This can be useful where the buyer wants the trading operation but not the legacy company shell, or where there are concerns about tax exposure, litigation history, accounting irregularities or other inherited risks.

Asset deals may therefore be attractive for first-time overseas buyers who are especially cautious about legacy liabilities.

However, asset purchases can be less straightforward operationally. Contracts may need to be assigned, employees may transfer under TUPE rules, licences may need to be reapplied for and tax considerations can differ materially from those in a share deal.

In practice, the choice is rarely abstract. It should be driven by the business itself, the risk profile uncovered in diligence, the tax position and the practical need for continuity after completion.

Do you need to move to the UK?
A key practical issue for individual foreign buyers is whether they must immigrate to Britain in order to own and run the acquired business. The answer is no in terms of ownership, but possibly yes in terms of how actively they intend to manage it.

Owning a UK company does not in itself require UK residence. A foreign national can hold shares in a UK business and even direct the business strategically from abroad, provided the operational setup, governance and management structure support that model.

The position is different if the buyer intends to work in the business in the UK on a day-to-day basis. The government’s visitor rules allow Standard Visitors to come to the UK for up to six months and undertake certain permitted business activities, such as attending meetings, negotiating and signing deals and other defined business-related activities.

Changes introduced in early 2024 also widened the business activities that visitors can undertake and clarified that limited remote working is permissible where it is incidental to the visit, rather than its main purpose.

However, visitor status is not a general right to live in Britain while running a UK company full-time. If the buyer plans to be the hands-on managing director of the acquired business, sign staff off daily, continuously supervise operations and make the UK their effective base, then a proper immigration route will usually need to be considered.

If, by contrast, the business has a capable UK management team and the buyer’s role is more strategic or supervisory, operating from abroad with periodic UK visits may be both lawful and commercially workable.

The business model therefore drives the immigration analysis. A self-running business with strong second-tier management is far easier to own from overseas than a distressed or founder-dependent company that requires intensive daily intervention.

Buyers should make that assessment honestly before signing, because the reality of post-completion management often determines whether an acquisition succeeds.

A strong route into the UK market, but not a shortcut
For foreign nationals and overseas SMEs, buying a UK SME can be one of the most effective ways to enter the British market. It can deliver immediate revenue, local presence, customer relationships and operational capability far faster than an organic launch.

In a market where inbound M&A remains a prominent force and UK assets continue to attract overseas interest, the timing is also supportive.

But acquisition is only efficient when it is executed with discipline. Buyers still need the right structure, the right advisers, robust diligence and a realistic operating plan for what happens post-completion.

The foreign buyers most likely to succeed are not those who see the UK as an easy market, but those who treat a lower mid-market acquisition with the same seriousness they would bring to any complex cross-border transaction.
