The value of UK M&A activity is on track to hit a record high this year, in a dealmaking environment in which financing trends are enabling corporate buyers to outperform private equity investors.
A wave of landmark strategic deals is pushing UK M&A value toward an annualised £347 billion — well ahead of the previous record of £309.2 billion set in 2015 — while private equity's share of the market falls to its second-lowest level since 2014. Source: PitchBook data, year to 7 July 2026.
Higher debt costs weigh on buyout economics and limit the deal sizes sponsors can viably pursue. Private equity is "increasingly boxed out of the largest deal sizes," according to PitchBook.
McCormick's deal with Unilever Foods — the year's largest — was roughly two-thirds funded in stock. PE funds have no equivalent tradeable currency to offer selling shareholders.
Earn-outs, structured equity and rollovers are increasingly used by all dealmakers to close valuation gaps. But these tools do not give sponsors a currency that vendors can trade — a gap corporate buyers do not have.
"Corporate buyers have sidelined PE investors in the largest deals so far this year with financing options that sponsors couldn't easily replicate."PitchBook — UK M&A market analysis, 2026
