An onshore wind turbine specialist is set to be acquired from liquidators by a listed group. European Green Transition has entered into a share purchase agreement to acquire the O&M Business from the court-appointed liquidators of Arena Capital Partners (ACP) in a deal worth £3.5 million.
The O&M Business encompasses a 100 per cent share of Harrogate-based Earthmill Maintenance Limited, which has depots in Scotland, Wales and Cornwall, and an 85 per cent interest in Republic of Ireland-based WEP Wind Energy Partnership Limited and its 100 per cent-owned Northern Ireland-based subsidiary Silverford Engineering Limited.
In addition to the O&M Business, the deal also includes a 52 per cent interest in Scotland-based condition monitoring software technology company Anemos Analytics Limited.
The companies collectively serve over 900 wind turbines across the UK and Ireland. Despite the challenges faced by parent company ACP, European Green Transition says that each of the businesses continues to trade profitably.
Last year, the O&M Business generated revenue of approximately £14.7 million and adjusted EBITDA of around £900,000, with the £3.5 million consideration reflecting an EBITDA multiple of close to 3.9x.
European Green Transition plc co-founder and Executive Chair Cathal Friel said that the deal reflected the strategy the firm had set out at its IPO of targeting acquisitions of “high-potential, profitable critical infrastructure services businesses.”
He continued: “We have been engaging with the management teams of Earthmill and WEP for the last 18 months and are delighted to have completed the acquisition of these businesses at what we believe to be an attractive valuation."

Friel added that the deals were occurring at a good time, following the end of “the defacto ban on onshore wind in the UK imposed by the Conservative government”, which he said had “created a significant and immediate repowering opportunity which involves replacing and upgrading ageing wind turbines."
Dave Broadbank, Managing Director of the O&M Business, said that the business has “a strong platform, a loyal client base and a huge opportunity ahead of us”, adding that joining EGT would enable the business “to move faster and drive longâterm growth, while staying focused on the quality and reliability our clients expect.”
