Concept Building Services (Southern) Limited, a West Sussex-based construction and building services provider, has been acquired by a private equity-backed counterpart. Concept has been acquired by Axis CLC, a provider of critical property services for essential buildings and social infrastructure.
Chichester-headquartered Concept specialises in property maintenance, refurbishment and compliance, providing infrastructure services covering civil engineering, mechanical and electrical contracting, maintenance and refurbishment.
The company, which was established in 2003, has a proven track record of successful projects, including work on local authority sites and Ministry of Defence estates. The firm operates across London, the South-East, South-West, Midlands and North-East of England.
In the year to August 31 2025, Concept reported turnover of approximately £83.5 million, up from £65.7 million a year earlier, while operating profit rose from £5.1 million to £6 million.
Axis CLC, which is backed by HIG, provides services including refurbishment, building compliance, decarbonisation and responsive and planned maintenance across the social housing, healthcare, education, commercial and defence markets.
Concept’s shareholders were advised by RSM UK throughout the deal, with the RSM team led by deal services partner Ian Wherry and consulting director Mark Colling (M&A), working alongside Nick Williams (due diligence) and Graham Weston (data analytics).
Joseph Carty, former Managing Director of Concept, said that the RSM team “provided excellent advice to all our shareholders, ensuring a smooth and timely completion of the deal.”
RSM UK Deal Services Partner Ian Wherry commented: "We're proud to have supported Concept Building Services in achieving a successful outcome and ensuring a smooth transition to a respected national leader in the construction industry.”
"The shared values of the two companies and commitment to ensuring high quality project outcomes will serve as a solid foundation for future growth.”
The deal is the first acquisition for Axis CLC since Axis and CLC were combined into a single platform in 2024. The strategic acquisition is described as enhancing the group’s capability and capacity to offer a full range of services across critical and secure environments in both the public and private sectors.
