Ambient Support, a care and support services charity, has been acquired after seeking restructuring advice. Ambient Support, along with its subsidiaries, has been acquired by South West-based health and social care provider Agincare Holdings.
The acquisition ensures the continued operation of 80 homes and services across the UK, as well as preserving over 800 jobs and protecting care and support provision for approximately 700 people.
Ambient Support, which has provided care and support services for more than 30 years, appointed Julie Palmer and Andrew Hook of Begbies Traynor Group and BTG Advisory’s Robert Insall to provide restructuring advice.
Begbies Traynor recommended a sale of the business and launched an accelerated sale process. The M&A process saw 31 interested parties consider an acquisition under NDA, while six ultimately made an offer.
The sale to Agincare Holdings was completed on October 15 and sees the buyer acquire Ambient’s services, which largely consist of care and support for people over 18 years of age with learning disabilities or mental health needs.
Agincare, which was founded in 1986 and is based in Dorset, is a family-owned holding company operating across more than 100 locations and employing over 4,500 care professionals.
As well as securing jobs and access to crucial health and social care services, Begbies Traynor Managing Partner Julie Palmer said that the deal will also enable Ambient and its residents to move forwards following a period of uncertainty.
Palmer continued: "Early engagement with the Begbies Traynor Group team working across a number of its service lines from restructuring to advisory together with our in-house specialist property team has been crucial to helping Ambient progress."
