Digital experience software firm acquired for up to £19.2m

A Leicester-based provider of digital experience platforms has been acquired by listed tech firm Netcall in a deal worth up to £19.2 million. Jadu Holdings is an accessibility-first digital experience platform that serves public-sector and higher-education organisations in the UK, North America and Australia.

The Jadu platform combines web content management, case management, forms and payments and multilingual search powered by AI. The firm serves approximately 120 customers, including Liverpool City Council, Birmingham City Council Wasatch County Government (Utah) and Carnegie Mellon University (Pennsylvania), with a team of over 80 staff.

In the year to September 30 2025, Jadu Holdings reported revenue of £7.4 million, a year-on-year increase of 7 per cent, with recurring revenue accounting for 76 per cent of this total. Despite reporting an adjusted EBITDA loss of £0.3 million, the company achieved EBITDA breakeven during the fourth quarter, suggesting improving profitability.

The deal involves an initial consideration of £15.2 million, comprising £11.2 million in cash and 3,378,664 Netcall Ordinary Shares valued at £4 million. An earn-out valued at up to £4 million may also be payable, contingent on Jadu achieving specific financial and non-financial performance targets, including Annual Contract Value (ACV) growth of around 20 per cent per annum over two years.

With circa 90 per cent of Jadu's ARR from cloud services and identified cost efficiencies, we expect the acquisition to be accretive to adjusted EPS this financial year, and to add to our growing base of recurring revenues."
