Infrastructure technology provider acquired at 3.5x EBITDA

Saxis Group Limited, a specialist enterprise storage, data protection and hybrid infrastructure services provider has been acquired by listed tech firm SysGroup plc in a deal worth up to £1.75 million.

Buckinghamshire-based Saxis Group serves customers from both the public and private sectors and from industries including education, housing, media and entertainment. The firm’s customer base is described as closely aligning with SysGroup’s ideal customer profile.

The acquisition is expected to generate identifiable opportunities for SysGroup to cross-sell cybersecurity, managed services and cloud solutions, as well as increasing its exposure to resilient and regulated end-markets.

The listed group will pay an initial cash consideration of £1.25 million for Saxis, along with a potential earn-out of £0.5 million. If triggered, the full consideration would represent a 3.5x multiple of Saxis Group’s normalised EBITDA of £500,000, generated on unaudited revenue of approximately £2.1 million in the year to September 29 2025.

The acquisition will be funded from SysGroup's existing cash resources and is said to align with the group's strategy of broadening its end-to-end proposition, while strengthening its position and offering in the UK mid-market, particularly among customers in regulated industries.
