A group of online fine gemstone and diamond jewellery specialists has been acquired in a pre-pack deal. Roxoa Group Ltd, parent company of QP Jewellers (UK) Ltd, Ruby & Oscar Ltd and Gold Boutique (UK) Ltd, fell into administration earlier this month.
The affected companies had faced significant challenges in the wake of an internal effort to improve efficiency and effectiveness. The project resulted in an overspend that ultimately meant that finance had to be raised to plug the financial gap.
The cost of borrowing incurred further challenges for the companies and directors engaged Leonard Curtis to explore options available and subsequently market the business and its assets for sale.
Joint administrators Iain Nairn and Sean Williams of Leonard Curtis identified two separate investors as part of their efforts to find a buyer, with the pair forming a new business, Roxoa Holdings Limited, which has purchased the trade and assets of all four businesses. Another online brand, Bail & Stone Ltd, was not impacted by the administration.
Joint administrator Iain Nairn commented: "This was a highly credible, well-run business facing short-term challenges as it looked to improve trading efficiency.”
"We are delighted to have secured fresh investment, from experienced investors at just the right time. This will allow the company to continue to serve its customers, maintain continuity under its trusted brands and preserve a valued workforce in Gateshead."
In the year to July 31 2025, Roxoa Group Limited’s fixed assets were valued at approximately £60,000 and current assets at close to £1.2 million. However, the group’s net liabilities at the time stood at nearly £39,000.
For the same period QP Jewellers (UK) Limited’s fixed assets were valued at around £468,000, with net assets totalling slightly over £58,000.
Ruby & Oscar Limited’s current assets were valued at close to £284,000, with net assets amounting to around £21,500.
Gold Boutique (UK) Limited’s current assets, meanwhile, were valued at nearly £223,000, with net assets amounting to slightly under £35,000.
The company provides a comprehensive range of RICS-certified commercial property consultancy services for clients including industry-leading investors, blue-chip companies and major developers.
The company supplies heating oil and kerosene to domestic and commercial properties, as well as making a small amount of gas oil and diesel sales.
This is a unique chance to acquire a leading baby equipment rental business that has swiftly become a recognised name in the growing circular economy market in the UK.
