Owen Mumford, a medical device manufacturer based in Oxfordshire, has been acquired by US-listed Embecta Group in a deal worth up to £150 million. Owen Mumford’s devices cover injections, neuropathy, eye care and pelvic health.
The deal involves a £100 million upfront cash payment, along with an additional payment of up to £50 million, based on net sales of Owen Mumford’s Aidaptus auto-injector, which can accommodate different volumes of syringes, as well as a range of drug viscosities.
The sale to Embecta Group, a global medical device firm specialising in diabetes, comes after professional services firm Forvis Mazars marketed Owen Mumford for sale. Forvis Mazars solicited offers from buyers, managed the due diligence phase and supported deal negotiations.
Forvis Mazars deal advisory partner Oliver Hoffman, who led the sale with support from Janice Clement-Smith, Arran Smedley, Tiffany Chan and the wider deal team, called the transaction “a significant milestone for Owen Mumford”.
Adding that the deal would provide the Oxfordshire firm with “the scale and global reach to support its next phase of growth”, Hoffman continued: "It also underscores strong overseas appetite for high-quality UK businesses and the value of our integrated international model in delivering complex cross-border deals.”
"Finding the right buyer was key, and Embecta represents an excellent fit – respecting the company's values and legacy while enabling ambitious product development.”
According to Nigel Layton, global head of life sciences and pharma at Forvis Mazars, the deal demonstrates both the resilience of the pharmaceutical and medical device market, as well as “ongoing demand from international buyers for UK assets.”
Layton continued: "Despite broader market uncertainty, businesses with strong intellectual property, long-standing customer relationships and a proven track record of innovation continue to attract significant interest – particularly from US investors seeking high-quality, established platforms."
In the year to September 30 2024, Owen Mumford Limited reported turnover of £72.3 million, down from £82.6 million a year earlier, but cut its operating losses from around £3.2 million to approximately £1.2 million.
