Premier Technical Services Group (PTSG), a building compliance group backed by global private equity investor Warberg Pincus, has acquired East Sussex-based clean air firm System Hygienics.
System Hygienics, which was founded in 1993, provides extraction, ventilation and fire damping testing services and has worked with clients including Heathrow, AstraZeneca, the NHS and Battersea Power Station.
The company has now been acquired by West Yorkshire-based PTSG and will join the group's Fire Solutions division, with PTSG Group Chair Paul Teesdale saying the acquisition “perfectly complements our existing capabilities in this specialist area.”
The acquisition comes during a period of increasing compliance-focused M&A in the building products and services industry, amid an increasingly stringent regulatory environment.
Paul Teesdale commented: "The business has an outstanding reputation and a strong track record of growth, built on technical expertise, compliance excellence and long-standing customer relationships.”
Adding that System Hygienics was “an important addition to our Fire Solutions division”, Teesdale continued: "As always, our goal is to support the management team in maintaining the high standards that have made System Hygienics successful, while providing the backing and resources to drive further growth as part of the PTSG family."
The sale came after System Hygienics’ shareholders engaged EMC Corporate Finance to help them to plan and prepare for a sale process and secure a partner aligned with the business’ growth ambitions. Ryan Smith led the EMC team and acted as lead adviser.
Mark Poultney, Managing Director of System Hygienics, said that EMC’s “expertise was invaluable in helping us achieve a successful outcome and find the right partner for System Hygienics future growth."
Ryan Smith said that System Hygienics’ “technical expertise, strong customer relationships, and commitment to compliance excellence made them an attractive partner for PTSG.”
He continued: "This deal delivers an exit for the shareholders and positions the company for continued growth and success within a larger group."
