Acquisitive testing, inspections, certification and compliance (TICC) group Phenna Group has revealed its 24th and 25th deals of 2025 with the acquisition of companies based in Spain and Lancashire.
The Nottingham-based group has acquired Lancashire firm Essential Food Hygiene (EFH), a provider of accredited online training solutions in the food safety, compliance and workplace competence markets.
The company will join the group’s Food & Life Sciences Division under the leadership of Eville and Jones (E&J). EFH founders Jo Kerry and Ed Laycock said that the deal meant the firm would now be “part of a wider group with strong expertise and resources.”
They continued: "Essential Food Hygiene will continue to grow and thrive. Our office team remains in place and is looking forward to supporting clients as we move into this new chapter. They are excited about the opportunities ahead and the new developments planned for the new year."
Alongside the acquisition of EFH, Phenna Group has also expanded into Spain for the first time, acquiring 4fores (For Optimal Renewable Energy Systems S.L.), a Madrid-headquartered provider of testing, measurement and grid integration services for renewable energy systems.
Phenna Group Chief Executive Phil Marshall said that 4fores’ “deep technical capability, international presence, and strong reputation in renewable energy testing make them an outstanding addition to our portfolio.”
Marshall continued: "As global energy markets continue to evolve and regulatory frameworks strengthen, 4fores' expertise will play a vital role in supporting the safe, reliable, and efficient integration of renewable power systems worldwide."
4fores Chief Executive Diego López Andía said that Phenna Group’s “commitment to quality, investment in specialist expertise, and international ambition align perfectly with our values and our vision.”
He added that the deal would enable 4fores “to accelerate our growth, expand our global footprint, and continue delivering advanced, reliable solutions to our customers across the energy transition."
In the year to December 31 2024, Phenna Group holding company TIC Holdco Limited reported revenue of around £498 million, up from approximately £370 million a year earlier, while adjusted EBITDA increased from £82.6 million to £119 million.
