UK-headquartered Testing, Inspection, Certification and Compliance (TICC) business Phenna Group has expanded its offering with the acquisition of a specialist provider of kitchen ventilation compliance and fats, oils and grease (FOG) management services.
Ventilate Consultancy & Control Limited (VCC) and Ventilate Grease Control Limited (VGC) (together “Ventilate”) will join Phenna Group’s Certification & Compliance Division. The deal, Phenna Group’s eighth of the year so far, serves as an add-on to ECAS, creating strong strategic alignment and clear synergies across service capability, customer base and market access.
Ventilate was founded in 2012 and operates across the UK, primarily supporting clients within the real estate and hospitality sectors. The company works with large property owners, multi-site operators and facilities management providers, delivering a range of specialist services via its two operating entities.
Ventilate Consultancy & Control provides independent kitchen ventilation consultancy and compliance services, ranging from extract system audits and design reviews to fit-out verification.
Ventilate Grease Control focuses on FOG management inspection, network protection and consultancy services, serving the real estate sector and infrastructure stakeholders.
Ventilate has built a strong reputation for providing practical, high-quality compliance solutions, supported by a highly experienced, technically skilled management team.
ECAS has solid relationships with UK water companies and infrastructure clients, while Ventilate brings established access to real estate, facilities management and multi-site hospitality customers.
As a result, the acquisition creates immediate opportunities to expand market coverage, deepen client relationships and deliver a more integrated compliance offering across a range of end markets.
The combination also enhances Phenna Group's ability to provide end-to-end compliance services spanning inspection, audit, consultancy and network protection. By aligning technical expertise and service delivery, the group is well-positioned to scale these capabilities, generate cross-selling opportunities and support clients with increasingly complex regulatory and operational requirements.

In the year to December 31 2024, Phenna Group holding company TIC Holdco Limited reported revenue of around £498 million, up from approximately £370 million a year earlier, while adjusted EBITDA increased from £82.6 million to £119 million.
