Coventry-headquartered armour technology manufacturer and vehicle integrator NP Aerospace has agreed a deal to acquire US-based specialist advanced defence protection services provider Iten Defense.
The deal will see NP Aerospace acquire Ohio-based Iten Defense from private equity firm Edgewater Capital Partners and other minority shareholders.
The acquisition is aimed at strengthening the combined company's portfolio of survivability and protection technologies, while enhancing its ability to provide mission-critical armour products to defence and security customers across global markets.
James Kempston, Chief Executive of NP Aerospace, described the deal as “an important strategic step for NP Aerospace as we continue to invest in advanced protection technologies and expand our capabilities for customers worldwide”.
He continued: "Iten Defense brings strong technical expertise, manufacturing capacity, and complementary capabilities, and we look forward to working with the team following completion.”
Iten Defense Chief Executive Damon Walsh said: “As a larger global enterprise with combined engineering and technical know-how, we will be well placed to respond to today's increasingly complex defence requirements at a pace to best serve our customers' needs."
Edgewater Capital Managing Partner Pete Ostergard said that the firm’s close partnership with Iten Defense’s management team had “transformed the business over the past few years through a series of strategic initiatives and investments in expanded capabilities.”
Ostergard added that the combination of Iten Defense with NP Aerospace would “further accelerate Iten's growth as a leader in advanced protection solutions."
NP Aerospace and Iten Defense will continue to operate as independent businesses until the deal completes, with the transaction remaining subject to customary closing conditions, including certain government and regulatory approvals.
In accounts for the year to December 31 2024, NP Aerospace Limited reported turnover of approximately £58.9 million, up from £50.8 million a year earlier, while operating profit slipped from £4.3 million to £4 million.
