Henley Construction Management Group, a specialist construction group headquartered in West Yorkshire, has completed a management buyout (MBO) alongside an acquisition. The group has acquired SCI, an engineering and consultancy practice based in Rutland.
The MBO sees longstanding senior team members Tom Cardoe, Jon Henley, Dave Cawley and Jim Wenham take over the business from founding Shaun and Zoe Henley. The founders will retain a minority shareholding in the business and continue to provide strategic support.
Tom Cardoe said that the MBO and the acquisition of SCI “set the stage for an exciting new era” for the business. Jon Henley said that the new leadership were “committed to driving ambitious growth, underpinned by a secured pipeline of work”.
Stephen Garbett, York-based corporate finance partner at Azets, who provided deal and tax advisory services on both the MBO and acquisition, said that the two transactions “are landmark deals that create a strong platform for future growth.”
SCI provides facade engineering consultancy services, including technical coordination and structural analysis. The acquisition of SCI will bolster Henley’s ability to provide fully-integrated facade services, spanning concept design and detail to manufacture and installation.
Henley’s Dave Cawley said: "SCI has been a trusted partner for many years, and bringing them into the Henley Group is a natural next step. Their expertise strengthens our technical capability and allows us to offer a fully integrated facade solution.”
Founding director Shaun Henley said that the business was being handed over “to a highly experienced team that has played such a pivotal role in its success.”
Founded in 2012, Henley Construction Management Group comprises Henley Stone Specialists, Henley Restoration & Remedials and HZS Stainless Steel. The group, which delivers facade systems, rail infrastructure and heritage restoration projects, is seeking to double in size over the coming years.
