HE Simm Group, a Liverpool-based engineering group, has sold its fire and security services subsidiary to H.I.G. Capital portfolio company andwis Group. HESIS provides fire and security services, as well as hard FM services, to sectors including education, healthcare, custodial and defence.
The company has undergone a period of significant growth, expanding its presence across key strategic public sector verticals. Despite the subsidiary’s strong performance, HE Simm Group decided to divest the business in order to focus on its core strategic activities.
The business has now been acquired by andwis Group, significantly enhancing its fire and security capabilities and bolstering its expertise in complex and highly regulated environments.
Gareth Simm, Chief Executive, HE Simm Group, commented: "We are delighted to see HESIS join the andwis Group and have no doubt it will continue to flourish under its new ownership.”
HESIS Limited Managing Director Barry Juggins said that the company’s “exceptionally talented team” had “worked tirelessly over the last decade to grow the business to what it is today”, adding that HESIS “will continue to deliver best-in-class solutions to our customers” following the acquisition.
HE Simm Group were advised on the transaction by BDO, with Gareth Simm and Barry Juggins both saying that the BDO team had played a key role in facilitating the sale.
BDO Deal Advisory Partner Claire Frangou, who led the deal team, said that HESIS was “a first-class business with features that really helped us position the business to achieve a strong value on the sale.”
She continued: "This is a significant transaction in the fire & security and FM M&A sectors where BDO has been very active, we were able to leverage on our strong sector experience to support the team and achieve a fantastic result."
Private equity firm H.I.G. Capital formed andwis Group in 2023 following its double acquisition of Meesons Futures Ltd and Synecore Ltd, which were merged with existing portfolio companies CPS and Classic Lifts to form a group of technical services providers.
Since then, the group has added a number of new companies to its portfolio, which spans six key areas: fire and security; mechanical and electrical; lifts and entrance; maintenance and response; water and air hygiene; and asbestos management and remediation.
