Landguard Nexus Limited, a specialist electrical and electronic manufacturing company based in Hampshire, is set to be acquired by listed firm Chemring in a deal valued at up to £20 million.
The Fareham-based company designs, manufactures and supports software defined radio (SDR) systems and associated security products. The firm’s products enable defence, government and law enforcement organisations to protect critical operational assets.
Languard Nexus’ specialist systems include high-performance tracking products operating across cellular networks, satellite communications and other radio frequency technologies. The firm also manufactures SDR transceivers, providing flexible and reprogrammable radio capabilities utilising the latest interoperability standards.
Post-acquisition, the company’s current owner-managers are expected to remain with Chemring. Completion of the deal is subject to approval under the UK National Investment and Security Act.
The consideration of up to £20 million will be satisfied via a £14 million cash consideration upon completion of the deal, funded from existing Chemring bank facilities, with cash earnouts totalling up to £6 million related to certain performance targets. In the last year, Landguard Nexus recorded turnover of approximately £7 million.
The acquisition of Landguard Nexus, along with wholly owned subsidiaries Landguard Systems Inc and Landguard Systems, is expected to generate further opportunities for Chemring to boost the growth of its Roke business. The deal brings 30 specialist engineers to Roke, along with a suite of products, unique intellectual property and several strong customer relationships.
Following the announcement of the deal, Chemring Chief Executive Michael Ord said: "The acquisition of Landguard further enhances Roke's significant operational capabilities and is further evidence of Chemring delivering its strategy of delivering growth through a combination of organic investment and bolt-on acquisitions in high-priority defence and national security markets."
